This right does not permit resale, sublicensing or unauthorised commercial exploitation of the CHIPPIES platform.

20. FEEDBACK

Users may provide ideas, suggestions or feedback about CHIPPIES.

Where you voluntarily provide feedback, CHIPPIES may use that feedback to evaluate, develop or improve the platform without an obligation to implement the suggestion or compensate the person providing it.

This does not transfer ownership of Customer Data to CHIPPIES.

21. SUBSCRIPTIONS

Some CHIPPIES services may require a paid subscription.

Available plans, pricing, included users, features and billing frequency will be displayed before purchase or otherwise agreed with the customer.

23. FEES AND PAYMENT

Customers must pay applicable subscription fees in accordance with the pricing and billing arrangements presented at purchase.

Payments may be processed through a third-party payment provider such as Stripe.

Customers authorise applicable charges in accordance with the subscription selected.

Prices will state whether GST is included or otherwise applicable.

24. RENEWAL

Where a subscription automatically renews, the renewal arrangement and billing frequency will be disclosed to the customer before purchase.

Unless cancelled in accordance with the applicable subscription conditions, recurring subscriptions may continue for subsequent billing periods.

Customers may be able to upgrade or downgrade their subscription.

Any change in:

  • price;

Where reasonable and appropriate, CHIPPIES may provide notice and an opportunity to remedy a breach before termination.

Nothing in this section limits rights available under applicable law.

28. DATA FOLLOWING TERMINATION

Termination or cancellation does not necessarily result in immediate deletion of Customer Data.

  • in backups;

  • where required or permitted by law;

  • for security or fraud prevention;

  • for accounting purposes;

  • for dispute resolution; or

  • mobile networks;

  • cloud infrastructure;

  • third-party providers;

  • device problems;

  • security incidents; or

  • circumstances outside CHIPPIES’ reasonable control.

Nothing in this section excludes statutory rights that cannot lawfully be excluded.

30. CHANGES TO CHIPPIES

CHIPPIES is an evolving platform.

We may introduce, modify, replace or discontinue functionality where reasonably necessary to:

  • improve the platform;

  • address security issues;

  • comply with law;

  • respond to technical requirements;

  • develop the service; or

  • manage features that are no longer reasonably supportable.

Where a material change significantly affects a paid service, CHIPPIES will take reasonable steps to communicate the change where appropriate and comply with applicable legal obligations.

31. THIRD-PARTY SERVICES

CHIPPIES may depend on third-party services including:

  • cloud infrastructure;

  • payment providers;

  • application stores;

  • authentication services;

  • communications services; and

  • other technology providers.

Third-party services may be subject to separate terms and privacy policies.

CHIPPIES is not responsible for independent third-party services except to the extent responsibility cannot lawfully be excluded.

Each party may receive confidential information relating to the other.

Where information is confidential by nature or is identified as confidential, the receiving party should use it only for legitimate purposes associated with the CHIPPIES relationship and protect it using reasonable measures.

This does not apply to information that:

  • is lawfully public;

  • was already lawfully known without confidentiality restrictions;

  • is independently developed;

  • is lawfully received from another source; or

  • must be disclosed by law.

35. NO PROFESSIONAL ADVICE

These limitations do not apply to the extent that doing so would exclude or restrict rights that cannot lawfully be excluded.

38. LIABILITY

To the maximum extent permitted by law, each party is responsible for loss or damage to the extent caused by its own acts, omissions, breach of these Terms or other legal responsibility.

CHIPPIES is not responsible for loss caused solely by:

except to the extent CHIPPIES is legally responsible for the relevant loss.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

39. INDEMNITY

To the extent permitted by law, a customer is responsible for claims, losses or liabilities suffered by CHIPPIES to the extent caused by:

  • the customer’s unlawful use of CHIPPIES;

  • Customer Data that infringes another person’s rights;

  • a material breach of these Terms; or

  • fraudulent or intentionally wrongful conduct by the customer or its authorised users.

This clause does not require a customer to indemnify CHIPPIES to the extent the relevant loss was caused by CHIPPIES’ own negligence, breach, unlawful conduct or other legal responsibility.

40. CHANGES TO THESE TERMS

CHIPPIES may update these Terms where reasonably necessary because of:

  • changes to the platform;

  • new functionality;

  • security requirements;
